SOME STATES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH STATES, THE LIABILITY OF Tropiland, S.A, AND ITS AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. INDEMNIFICATION AND DISPUTES You agree to indemnify, defend and hold harmless Tropiland, S.A, and its officers, directors, employees, agents and business partners (each an "Indemnified Party" and a third party beneficiary of this Agreement) from any and all liability, claims, demands, suits, damages, costs or expenses, including without limitation, reasonable attorney's fees, loss or damage to property of any person or personal injury or death of any person, incurred by any Indemnified Party, arising out of or incident to or in connection with any use or alleged use of any data, information, product or service available on or in connection with this Site, whether before, during or after your use of this Site. Each Indemnified Party reserves the right, at its own expense, to participate in the defense of any matter subject to indemnification by you, and in such case, you agree to cooperate with such Indemnified Party in the defense of such claim. MISCELLANEOUS This Agreement and the resolution of any dispute related to this Agreement or the Site shall be governed by and construed in accordance with the laws of the Republic Of Panama, without giving effect to any principles of conflicts of law. Tropiland, S.A's failure to insist upon strict enforcement of any provision of this Agreement shall not be construed as a waiver of any provision or right. Any claim or controversy related to this Agreement or the Site shall be settled by binding arbitration in accordance with the commercial arbitration rules of the Republic Of Panama. The arbitration shall be conducted in Republic of Panama, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. You or Tropiland, S.A may seek any interim or preliminary relief from a court of competent jurisdiction in Republic of Panama necessary to protect the rights or property of you or Tropiland, S.A pending the completion of arbitration. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter. If the scope of any provision of this Agreement is too broad in any respect whatsoever to permit enforcement to its full extent, then such provision shall be enforced to the maximum extent permitted by law, and the parties hereto consent and agree that such scope may be judicially modified accordingly and that the whole of such provision shall not thereby fail, but that the scope of such provision shall be curtailed only to the extent necessary to conform to law. Any term or provision of this Agreement which is invalid or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such invalidity or unenforceability without rendering invalid or unenforceable the remaining terms and provisions of this Agreement or affecting the validity or enforceability of any of the terms or provisions hereof in any other jurisdiction. If any party brings legal action to enforce the terms of this Agreement, the successful or prevailing party in such action shall be entitled to recover its reasonable attorneys' fees in an amount set by the court and not a jury, in addition to all other rights and remedies to which it is entitled.
